    Conversion of Private Limited to Public Limited

    Private limited companies are quite common, but at some stage, most aspire to go public in order to achieve greater scalability. A common question that arises is, “Why go public?” The answer lies in the key differences between private limited and public limited companies.

    Public limited companies have the provision of launching an Initial Public Offering (IPO). Through an IPO, a company offers its shares to the general public. This move eliminates the restriction on share transferability that exists in private limited companies.


    Additionally, public companies do not have a limit on the maximum number of members, enabling them to raise capital more freely and access funding with ease. Hence, flexibility and growth opportunities are the main drivers behind the transition from private to public.

    Documents Required:

    1. Digital Signature Certificates (DSC) of all Directors
    2. Director Identification Number (DIN) of all Directors
    3. Identity proof of all Directors
    4. Address proof of all Directors
    5. Passport-sized photographs of all Directors

     

    Proof of Business Address:

    If the premises are owned:

    No Objection Certificate (NOC) from the owner

    1. Copy of utility bills (not older than two months)

     

    If the premises are rented:

    1. Rent agreement
    2. Copy of utility bills (not older than two months)
    3. Certified copy of the latest financial statements
    4. Copy of the latest Income Tax Return Acknowledgement
    5. A new PAN card must be applied for
    6. All business letterheads and official stationery must reflect the new company name
    7. Bank account details of the company must be updated
    8. Intimation must be given to the tax authorities and other concerned bodies about the conversion to a public limited company
    9. Printed copies of the new Memorandum of Association (MOA) and Articles of Association (AOA) should be arranged at the earliest
